Terms of Service

Welcome to SampleOn, this agreement was written in English (US). To the extent any translated version of this agreement conflicts with the English version, the English version controls. SampleOn, Inc. provides the services (defined below) to you subject to the following Terms of Service, which may be updated by us from time to time without notice.

Unless otherwise indicated, SampleOn services (referred to as the "Service") is provided to you free of charge and members are highly encouraged to engage in 2nd tier promotions implemented by advertisers.

SampleOn Inc holds no liability or damages occurred to users, merchants and its publishers. User of SampleOn software and maintaining a profile on SampleOn is your consent to this agreement and you may not seek any penaltes or file charges against SampleOn in case of loss or damages during your use of SampleOn services.

SampleOn is a promotional website where businesses place offers not only to give samples but to invite new customers through sampling of their products, events or services. SampleOn has advertisers around the world providing you with offers. Sometimes, these companies will be providing the Services to you on behalf of SampleOn. By using this website you acknowledge and agree that these affiliates will be entitled to provide the Services to you.

SampleOn inc offers additional services such as software development, web development, design, graphic, software architect, wireframes and strategic consulting.

Engaging with SampleOn inc through such services, signing up with SampleOn site, mobile site, mobile app, SampleOn network of partners or submitting any monetary payment to SampleOn inc for such services serves as a legally binding agreement between the party submitting the payment and SampleOn inc. Payments also legally bind the company or individual to all of SampleOn Inc"s terms of service, privacy policy and arbitration agreements.

Price List

In order to use the Services, you must first agree to the Terms provided. You may not use the Services if you do not accept the Terms.

You can accept the Terms by:

1. By enrolling, using and/or visiting the Service. This is including but not limited to the products, services, content, applications, or other features that may be available from time to time in connection with the Service. You agree that you have read and understand this Agreement ("Agreement") and that your membership in the Service shall conform to both its terms and conditions ("Terms of Service") and its privacy policy (“Policy”).

2. By actually using the Services, in this case, you understand and agree that SampleOn will treat your use of the Services as acceptance of the Terms from that point onwards.

You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with SampleOn, or (b) you are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are resident or from which you use the Services.

Our Privacy Policy explains how we collect, use and disclose information that pertains to your privacy. The Privacy Policy forms part of our agreement with you and is incorporated in this Agreement by reference. For full details, please refer to our Privacy Policy. Any communications between you and SampleOn, such as email or other correspondence, in which you offer suggestions or comments for improving or modifying our Services will be deemed by us to be non-confidential and non-proprietary and you agree that such information may be used by us without any limitation whatsoever.

1. You MUST be able to understand and accept these Terms of Service and abide by its terms.
2. Should you decide to register and become a member. You acknowledge, all registration information provided by the user will be accurate and truthful and you agree to timely maintain this information.
3. User must be of legal drinking age to engage in wine & Spirits category of SampleOn.
4. You MUST provide correct/true information about your profile. SampleOn has the right to verify the information you provided. If any information changes you must immediately update your profile by logging in to SampleOn.com.
5. Advertisers are not allowed to make promotions that result in hassle for users in obtaining their sample.
6. Promotions created by advertisers need to be designed free and clear of catch with no purchase necessary. Businesses are allowed to sell product through second tier promotions only.

SampleOn will never share or sell your profile information with or to anyone. As a user, you agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account used to access the Services. Accordingly, you agree that you hold soul responsibility to SampleOn for all activities that occur under your account. If the user becomes aware of any unauthorized use of their password or account, they agree to notify SampleOn immediately.

Users agree not to reproduce, duplicate, copy, sell trade, resell or exploit for any purposes. Not including commercial purposes, portion or use of, or access to, the SampleOn’s Services (including Content, advertisements, Software and your SampleOn Reservation and Purchases). All users must agree to not use the SampleOn Services to:

1. Impersonate any person or entity, including, but not limited to, a SampleOn official, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity to our advertisers.
2. Any offensive, abusive, threatening, harassing, stalking, promoting violence, racism, harm, hatred, or bigotry against any group or individual will not be tolerated.
3. Material that contains software viruses or any other malicious computer code, files or programs designed to interrupt, destroy, or otherwise alter functionality of any computer software, hardware, telecommunications equipment owned by another party.
4. Libelous, defamatory, or promotional information that you know is false or illegal; Violates the privacy of others, including but not limited to posting the photograph of another person without that person's consent.
5. Exploits or attempts to exploit people in a sexual or violent manner.

• All merchants must honor the reservations of all Samples free and clear of any obligations or purchase
• Merchant or merchants appointed publishing partner must maintain and manage ongoing campaign up to date through the SampleOn advertisement panel.
• Merchants are responsible for any and all redemptions of products/ services to the consumers. SampleOn holds no responsibility for business held between merchants and consumers other than of support and assistance.
• Merchants must also maintain direct communication with the individuals engaging with their offers through our open communication chat channel.

Free Campaign:

Your first campaign is completely free with SampleOn users are provided with a PromoCode in order to skip the payment process. In order for the first promotion to be completely free you may not use "Via SampleOn" as an option in the second tier promotion. For free campaigns you can only use “Get It Here” or “Available At Location”.

Delete options:

As a SampleOn user you maintain a profile and might also maintain a company page. SampleOn does not give users the option to delete any profile created. In order to delete either profiles users must first contact the company through help page and we will have to clear your campaigns before proceeding.

Apps:

1. Payments for purchases made by users to SampleOn are forwarded to the advertising company.
2. SampleOn does not hold any commission for promotions that run on our site. The advertisers will receive full amount of deals purchased by users minus the transaction costs of 8%. Payments are made as soon as the transaction is confirmed.
3. Users are allowed a full refund if requested.

The expiration date of a promotion is as listed in the promotion by its promoters.

Your correspondence with or participation in promotions of Service advertisers and partners, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the user and the advertiser or partner.

We assume no liability, obligation, or responsibility for any part of any such correspondence or promotion, including without limitation withdrawal or modification of any offer or promotion. Users understand that, in some cases, there may be a delay in the processing of promotions of advertisements or partners due to advertiser's or partner's failure to provide necessary information to us for the crediting. We will not be responsible or liable for the delay or failure to deliver in such event.

Your correspondence or business dealings with, or participation in promotions of, advertisements found on or through the SampleOn Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that SampleOn shall not be responsible or liable for any loss or damage of any sort, incurred as the result of any such dealings or as the result of the presence of such advertisers on the SampleOn Services.

We do not have control over websites that SampleOn may link to. SampleOn may contain links to third-party websites that are not owned, operated, or controlled by SampleOn. Therefore, we cannot and do not assume responsibility for the content, privacy policies, or practices of such websites or the companies that own them. Additionally, we cannot and will not censor or edit the content of any third party site. By using SampleOn you expressly relieve us from any and all liability arising from your use of any third party website

1. The user is not allowed to share personal account with other individuals, Nor are you allowed to transfer accounts to other persons.
2. Users reservations and purchases are that of the users and cannot be transferred or sold to any other person. You must present a form of identification with your confirmation code if requested by the business offering the promotion.

Users acknowledge that Service content (including but not limited to text, sound, photographs, graphics, or other material contained in any Service communication, advertisements, or messages, whether by SampleOn or SampleOn's advertisers or partners), Service and software are protected by copyrights, trademarks, service marks, patents, and/or other proprietary rights and laws. Member or user is only permitted to use content, Service, or software as expressly authorized by SampleOn, its advertisers and partners. Except as expressly authorized by SampleOn or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

When using the site, users can publish and obtain access to various kinds of information and materials, all of which we call "Content." Content also includes information and materials posted to the site by the users. All users agree not to revise or obscure Content posted by others (including advertising and promotions authorized by SampleOn), and Users must agree not to post or use any Content in any manner that:

• Infringes the copyright, trademark, trade secret, or other intellectual property or proprietary right of others.
• Violates the privacy, publicity, or other rights of third parties.
• Is unlawful, defamatory, discriminatory, libelous, pornographic, obscene, abusive, threatening, harassing, hateful, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate, as determined by SampleOn in its sole discretion.
• Is false or inaccurate, or could damage our company, affiliates, advertisers, or other parties.

Though we strive to enforce these rules with all of our users, there is possibility of being exposed through the Site or Services to Content that violates our policies or is otherwise offensive. Persons may use the Site and Services at your own risk. We may, but are not obligated to, terminate user accounts and/or remove Content from the Site if we determine or suspect that those accounts or Content violate the terms of this Agreement or the applicable agreement with the offending user(s). We take no responsibility for your exposure to Content on the Site whether it violates our content policies or not.

Users agree to indemnify and hold SampleOn, its subsidiaries, affiliates, officers, agents, and other partners/employees, harmless of any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement, arising from a breach of this Agreement and/or any breach of your representations, purchases and warranties set forth above.

YOU AND OUR COMPANY (SampleOn) AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO OUR COMPANY MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

You represent that you are legally able to accept these Terms of Service. You affirm that you are either more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement. And as stated in the Conditional Use of Our Site and Service, above, you affirm that you are, in any case, 18 years of age or older. If you aren't, you must please cease use of our services.

OTHER: This Agreement contains the entire agreement between the user and SampleOn regarding the use of the Services. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. Notwithstanding any other provisions herein, no party will be deemed as a third-party beneficiary to this Agreement and a third-party (including another Member) who is not a party to this Agreement has no right to enforce any term of this Agreement. If any provision of this Agreement is found to be invalid or unenforceable, such provision will be changed and interpreted to accomplish the objectives to the greatest extent possible under any applicable law and the remaining provisions will continue in full force and effect. The failure of SampleOn to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. Please contact us with any questions regarding this Agreement.

SampleOn will provide a refund of the purchase price paid by you for any promotion within 7 days after the purchase of a promotion, provided that the Promotion has not yet been redeemed which will be confirmed by the advertiser as well. After seven days, we do not provide refunds. SampleOn accepts no returns or exchanges. Users cannot transfer reserved part of the promotion but may purchase promotion for others.
